責(zé)任外，買方有權(quán)憑中國商檢出具的檢驗(yàn)證書或有關(guān)文件向賣方索賠換貨或賠款。

claims:

(13)不可抗力：由于人力不可抗力的原由發(fā)生在制造，裝載或運(yùn)輸?shù)倪^程中導(dǎo)致賣方延期交貨或不

能交貨者，賣方可免除責(zé)任,在不可抗力發(fā)生后，賣方須立即電告買方及在14天內(nèi)以

空郵方式向買方提供事故發(fā)生的證明文件，在上述情況下，賣方仍須負(fù)責(zé)采取措施盡

快發(fā)貨。

forcemajeure:

thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellersshalladvisethebuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter.thesellersshallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccident.undersuchcircumstancesthesellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.

(14)仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭議應(yīng)通過×××協(xié)商解決，如協(xié)商不能解決，則將分歧提

交中國國際貿(mào)易促進(jìn)委員會按有關(guān)仲裁程序進(jìn)行仲裁，仲裁將是終局的，雙方均受其約

束，仲裁費(fèi)用由敗訴方承擔(dān)。

arbitration:

alldisputesinconnectionwiththeexecutionofthiscontractshallbesettledfriendlythroughnegotiation.incasenosettlementcanbereached,thecasethenmaybesubmittedforarbitrationtothearbitrationcommissionofthechinacouncilforthepromotionofinternationaltradeinaccordancewiththeprovisionalrulesofprocedurepromulgatedbythesaidarbitrationcommission.thearbitrationcommitteeshallbefinalandbindinguponbothparties.andthearbitrationfeeshallbebornebythelosingparties.
